Terms of Service

These terms are an agreement between you and Vipii ([legal entity name]). By creating an account or using vipii.shop you accept them. If you don’t agree, don’t use Vipii.

1. What the program is

Vipii lets creators open storefronts of curated product picks. When you shop through a creator’s links, the retailer pays a commission through its affiliate network; Vipii keeps a platform fee and splits the rest between you (cash back), the creator, and — where the creator has chosen one — their agency and charity.

The exchange at the heart of the program: to earn cash back, you direct us to collect your purchase information (from affiliate networks and from receipts you submit) and to share attributed purchases with the creator whose storefront you shopped, as described in our Privacy Policy. Your purchase data — and our right to use it as described there — is part of what you provide in exchange for rewards. If you do not want that exchange, do not participate.

2. Eligibility and your account

  • You must be [18 — counsel to confirm] or older and reside in the United States.
  • One account per person; keep your sign-in details accurate.
  • You are responsible for activity on your account. Tell us at support@vipii.shop if you suspect unauthorized use.

3. Earning rewards

  • Attribution is the retailer’s call.Rewards accrue only for purchases the retailer’s affiliate network actually reports and attributes to your click. Reward estimates shown before purchase are estimates, not promises.
  • Rewards mature in stages. A reward is pendinguntil the retailer’s return window closes, then cleared, and becomes redeemable only after the network actually pays the underlying commission. Timing depends on the retailer and network, not us.
  • Returns claw back. If a purchase is returned, canceled, or reversed, the associated reward is reversed too — including out of your balance if it was already credited.
  • Receipts.Where we offer receipt-based claiming (e.g., Amazon orders), you may submit proof of purchase within the posted claim window. Claims are matched to your own clicks, first-come-first-served, one claim per order. Submitting a receipt for a purchase you didn’t make, altering a receipt, or claiming someone else’s order is fraud (section 6).
  • No self-dealing. Purchases you make through your own storefront links (or arranged to simulate genuine shopping) do not earn rewards.

4. Rewards are promotional — not money

  • Reward balances are promotional credits. They are not cash, deposits, or property, earn no interest, have no cash value, and cannot be transferred or sold.
  • Balances are redeemable only for third-party gift cards through our fulfillment partner, subject to posted minimums and the gift card brand’s own terms. We may add or remove redemption options.
  • Unredeemed balances are forfeited when your account is deleted (after the 30-day grace window and a warning) or as provided in section 6. [Counsel: dormancy/expiry policy — currently none; confirm whether to add one and check state gift-card / escheatment law.]

5. Third-party retailers

Vipii is not the seller of anything you buy. Orders, payment, shipping, returns, and product issues are between you and the retailer, on the retailer’s terms. Creator picks are recommendations, not endorsements by Vipii.

6. Fraud, abuse, and our remedies

We may withhold, adjust, or cancel rewards, and suspend or terminate accounts, where we determine in good faith that activity is fraudulent, abusive, or gaming the program — including altered or duplicate receipts, self-purchases, click manipulation, or multiple accounts. Where fraud is involved, forfeited amounts include amounts already credited.

7. Creators and agencies

  • Payouts. Creator and agency earnings become payable only after the underlying network commission is received by Vipii, and are paid via Stripe to your connected account, subject to the posted minimum. You are responsible for your taxes; [counsel: 1099-K/1099-NEC handling].
  • Charity giveback.If you direct a share of earnings to a charity, that share accrues per sale and is donated automatically in your name through our donation partner once it reaches the charity’s minimum. Directed amounts are irrevocable — you can redirect future accrual and undonated balances to a different eligible charity, or pause, but directed money is never paid to you as cash. Donation receipts are provided for your records; consult your tax advisor.
  • Disclosures.You must comply with the FTC’s endorsement guides and any retailer program rules (including Amazon’s) when promoting your storefront.
  • Your content. You keep ownership of content you add and grant Vipii a license to host and display it to run the service. Import only content you have rights to.

8. Acceptable use

No scraping, reverse engineering, interference with the service, infringing content, or unlawful use. We may remove content or restrict accounts that break these rules.

9. Disclaimers and limitation of liability

The service is provided “as is.” To the fullest extent the law allows, Vipii disclaims implied warranties and is not liable for indirect, incidental, or consequential damages; our total liability is capped at [the greater of $100 or amounts you redeemed in the last 12 months — counsel to confirm].

10. Disputes — arbitration and class waiver

[Counsel to draft: individual arbitration (venue/administrator), 30-day informal-resolution first step, small-claims carve-out, class action waiver, opt-out window, one-year claim limit.]

11. Changes and termination

We may update these terms; material changes will be announced by email before they take effect, and continued use is acceptance. You can close your account at any time (section 5 of the Privacy Policy covers what happens to data and balances).
